This course will familiarize the learner with the details of the Foreign Corrupt Practices Act and how it is implemented at the organization. The course will also familiarize the learner with the Act’s anti-bribery provisions and accounting and recordkeeping requirements that the Act imposes. After completing this course, the learner will understand:

• What constitutes a red flag for foreign corrupt practices.
• How to properly keep records in accordance with the Act.
• The penalties for foreign corrupt practices.

Course Topics

T1. Foreign Corrupt Practices Act: This topic will familiarize the learner with the history and impact of the Foreign Corrupt Practices Act, along with the ActÆs anti-bribery provisions and how the Act is to be enforced.

T2. Anti-Bribery Provisions: This topic will focus on how the FCPA can be violated and by whom, in addition to provisions regarding payment, red flags, and penalties, among others.

T3. Red Flags, Defenses, and Penalties: This topic will focus on red flags that U.S. firms should be aware of, in addition to payments that are permissible and affirmative defenses.

T4. Accounting and Recordkeeping Requirements: This topic will familiarize the learner with recordkeeping procedures, which consist of section 781 applications, report forms, and provisions for national security.
